The trademarks of Central Transport may not be used (1) without the separate prior written consent of Central Transport; (2) in any manner that is likely to cause confusion among consumers, or (3) in any manner that disparages or discredits Central Transport or Central Transport’s products or services. All trademarks not owned by Central Transport that appear on the Website are the property of their respective owners, who may or may not be affiliated with, connected to, endorsed, or sponsored by Central Transport. Central Transport does not have any authority to permit and does not authorize You to use, in any way, any trademarks not owned by Central Transport.

Subject to the Web Terms, Central Transport grants You a limited, revocable and nonexclusive license to access and use the Website and the Services solely for Your personal use. You may not download (other than page caching) or modify the Website or any portion of the Website except with the express written consent of Central Transport. You are granted a limited, revocable and nonexclusive right to create a hyperlink to the home page of the Website so long as the link does not portray Central Transport, or its products and/or services, in a false, misleading, derogatory, or otherwise offensive matter. You may not use any Central Transport trademark, logo or other proprietary graphic as part of the link without express separate prior written permission from Central Transport. Central Transport reserves the right to terminate any license granted herein with immediate effect at its sole and absolute discretion. In addition, any unauthorized use of the Website by You terminates any licenses or permissions granted herein by Central Transport.

You may choose to register and create an account to utilize the Services offered through the Website. If You create an account, You agree to provide accurate and current information about You as prompted and will maintain and promptly update all information to keep it accurate and current. You also agree that You are responsible for establishing and maintaining the confidentiality of Your account and password, restricting access to Your computer and exiting your account at the end of each visit. You further agree to accept responsibility for all activities that occur under Your account or password and to notify Central Transport immediately of any unauthorized use of Your account or password or any other breach of security. Central Transport sells products and/or services to adults who may purchase with a credit card. If You are under 18, You may use the Website only with involvement of a parent or guardian. Central Transport reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.

If You elect to use or purchase any Services through the Website, including without limitation any transportation of freight services, Your use of such Services may be subject to additional agreements (“Transportation Services Agreements”) or Central Transport Rules Tariff which may be accessed on the Website and are incorporated by this reference into these Web Terms. In the event of a conflict between these Web Terms and a Transportation Services Agreement or Rules Tariff, the terms of the Transportation Services Agreement or Rules Tariff shall control as to such matter, to the extent of the inconsistency.

Invoices & Payment. If You order any Services through the Website, the fees for such Services will be due at the time You place Your order, or at Central Transport‘s option, will be invoiced to You. All fees that are invoiced shall be due and payable within thirty (30) days of the invoice date. You will provide Central Transport with complete and accurate billing contact information, including a valid email address. Central Transport reserves the right to request that payments be made via electronic bank transfer. If you fail to make timely payment for a Service, Central Transport may suspend providing any Services to you until such amounts are paid in full.

Taxes. Fees invoiced pursuant to these Web Terms do not include, and may not be reduced to account for, any taxes, which may include local, state, provincial, federal or foreign taxes, withholding taxes, levies, duties or similar governmental assessments of any nature, including, but not limited to, value-added taxes, excise, use, goods and services taxes, consumption taxes or similar taxes (collectively “Taxes”). You are responsible for paying all Taxes imposed on any Services. If Central Transport has a legal obligation to pay or collect Taxes for which You are responsible under these Web Terms, the appropriate amount shall be computed based on the address You provided to Central Transport when Your account was created, unless You provide Central Transport with a valid tax exemption certificate authorized by the appropriate taxing authority.

Central Transport reserves the right (but not the obligation) to monitor, remove or edit any User Content at its sole and absolute discretion. Central Transport takes no responsibility and assumes no liability for any User Content or any content posted by a third party.

By visiting or using the Website, You agree that the laws of the State of Michigan, without regard to principles of conflict of laws, will govern the interpretation and enforcement of the Web Terms or any dispute of any sort that might arise between You and Central Transport involving these Web Terms. Any such dispute will be brought only in either the Federal Court or the courts of the State of Michigan, located in Macomb County, Michigan and You hereby agree to submit to the personal jurisdiction of those courts. If You and Central Transport have entered into a Transportation Services Agreement and such Transportation Services Agreement expressly contemplates the use of the Website, absent any conflict between these Web Terms and the Transportation Services Agreement, these Web Terms are the entire agreement between the parties relating to the matters contained herein and shall not be modified except in writing, signed by Central Transport. In the event of a conflict between these Web Terms and any Transportation Services Agreement, the Transportation Services Agreement will control.

You agree to defend, indemnify and hold harmless Central Transport, its officers, directors, employees, agents and representatives from and against any and all claims arising out of Your breach of any of the Web Terms and any of Your activities on the Website.
